Supplier Terms

1. Purchase Orders are awarded based on vendor approval and performance and are subject to price and delivery confirmation.

2. Any variation in pricing by the seller shall be of no force and effect unless the same is accepted in writing by Concentric Tool.

3. Cancelation: Buyer may, at its election, cancel this Purchase Order in whole or in part, giving notice of default to the seller if (a) seller refuses or fails to deliver the supplies or any installment thereof within time specified, being understood that time is of the essence, (b) seller fails to strictly comply with any provisions of or repudiates this purchase order, or (c) seller becomes insolvent or subject to proceedings under any law relating to bankruptcy, insolvency or relief of debtors. If this order is terminated, payment for completed supplies delivered to the buyer shall be in an amount to be agreed upon by the seller and buyer.

4. Seller warrants that articles ordered to buyers’ specifications will conform thereto and to any drawings, samples, or other descriptions furnished by the buyer. In any event, all articles will be merchantable, of good material and workmanship, and free of defects. Seller shall immediately notify buyer in writing with the pertinent facts if seller becomes aware or suspects that it has furnished nonconforming parts. Buyer may, at its option, either return for credit or require prompt correction or replacement of the defective or nonconforming parts thereof. Return of parts shall be at the seller’s expense. Seller’s obligations under this clause shall apply to such defects and nonconformance as occur within one (1) year, or whatever is agreed upon in writing, from delivery of the articles to the buyer.

5. The seller's inspection system and materials being supplied may be subject to inspection by the buyer as well as the customer. The seller shall notify the buyer of any nonconforming product and obtain approval for nonconforming product disposition. The buyer shall have the right to reject any goods found to be defective in material or workmanship, or otherwise not in compliance with the requirements on the order. Rejected goods will be returned to the seller at the seller's expense or at the buyers option.

6. If Supplier is going to make any changes to processes or products ,including substitutions, require Concentric Tool review and approval prior to implementation
